It started with the hairdresser who saved my hair.

This Privacy Policy explains how Verro Media d.o.o., operating as Fillchair ("Fillchair", "we", "us", or "our"), collects, uses, and shares information about you when you visit our website and funnels, contact us, book a call, message our demo assistant, or become a customer (together, the "Services").

We are a company registered in Croatia at Medpotoki 16, Zagreb, Zagreb City 10000, VAT number HR39758590967. For the purposes of the EU General Data Protection Regulation (GDPR), we are the controller of the personal data described in this policy, except as noted below.

If you do not agree with this policy, please do not use the Services.

A NOTE ON WHOSE DATA THIS COVERS

This policy covers personal data about you as a visitor, prospect, or customer of Fillchair.

It does not cover the personal data of a salon's own clients that we process through the AI receptionist on a salon's behalf. When a salon uses our receptionist, the salon is the controller of its clients' personal data and we act as the salon's processor. That processing is governed by a separate Data Processing Agreement between us and the salon, not by this policy.

1. INFORMATION WE COLLECT

Information you provide to us.

  • Contact and booking details such as your name, email address, phone number, and salon or business name, when you complete a form, book a call, or contact us.
  • The content of messages you send us, including messages you send to our demo assistant so you can test how the receptionist works.
  • Account and billing information if you become a customer, including the information needed to process payment, which is handled by our payment provider.
  • Materials you give us so we can configure and run the Services for you, such as your salon information, service menu, pricing, booking links, and brand assets.

Information we collect automatically. When you use the Site, we and our providers may automatically collect:

  • Device and connection information such as your IP address, browser type, operating system, and device identifiers.
  • Usage information such as the pages you view, the links you click, the time and date of your visit, and how you arrived at the Site, including click identifiers passed from advertising platforms.
  • Information collected through cookies and similar technologies, including the Meta pixel, as described below.

Information from third parties. We may receive information about you from advertising and analytics platforms such as Meta, from our scheduling and customer relationship tools, and from publicly available sources, and we may combine it with information we already hold.

2. COOKIES AND TRACKING TECHNOLOGIES

We use cookies and similar technologies to operate the Site, remember your preferences, measure performance, and support advertising.

We use the Meta pixel and the Meta Conversions API to understand which advertising leads to enquiries and bookings and to measure and improve our advertising. These tools may collect information about your activity on the Site and share it with Meta, and may set cookies on your device.

Where required by law, including for visitors in the EU and the EEA, we ask for your consent before setting non-essential cookies or firing advertising and analytics tags. You can withdraw consent or change your preferences at any time through the cookie settings on the Site. You can also control cookies through your browser settings, and you can manage advertising preferences through the settings offered by Meta and other platforms.

3. HOW WE USE YOUR INFORMATION

We use the information we collect to:

  • Provide, operate, and maintain the Services, including responding to your enquiries and running calls and demos.
  • Set up and manage your account and process payments if you become a customer.
  • Configure and deliver the receptionist and content services for your salon.
  • Communicate with you, including sending booking confirmations, reminders, service updates, and, where permitted, marketing messages.
  • Measure, understand, and improve the Services and our advertising.
  • Protect the Services, prevent fraud and abuse, and enforce our terms.
  • Comply with our legal obligations.

Legal bases (for visitors in the EU and the EEA). We rely on the following legal bases under the GDPR:

  • Performance of a contract, to provide the Services you request and manage our relationship with you.
  • Your consent, for non-essential cookies, advertising and analytics tags, and certain marketing messages. You can withdraw consent at any time.
  • Our legitimate interests, to run, secure, measure, and grow our business, where those interests are not overridden by your rights.
  • Compliance with a legal obligation, where the law requires us to process your information.

4. HOW WE SHARE YOUR INFORMATION

We do not sell your personal data. We share it only as described here:

  • Service providers and sub-processors who help us run the Services. These currently include our hosting and infrastructure providers, our customer relationship and messaging platform (GoHighLevel), our scheduling tool (Calendly), our advertising and measurement platform (Meta), our AI model provider that generates assistant responses (currently OpenAI), automation tools used to connect these systems, and our payment provider. The specific providers may change over time. You can request the current list by contacting us.
  • Advertising and analytics platforms, as described in the cookies section, to measure and improve our advertising.
  • Professional advisers and authorities, where necessary to comply with the law, respond to lawful requests, or protect our rights.
  • In a business transfer, if we are involved in a merger, acquisition, financing, or sale of assets, your information may be transferred as part of that transaction.

Where we share information with providers, we do so under contracts that require them to protect it and to use it only for the purposes we specify.

5. INTERNATIONAL DATA TRANSFERS

We are based in Croatia, and some of our providers are located in the United States or other countries. This means your information may be transferred to, stored in, or processed in countries whose data protection laws differ from those in your country. Where we transfer personal data out of the EU or the EEA, we rely on appropriate safeguards required by law, such as the European Commission's Standard Contractual Clauses. 6. DATA RETENTION

We keep personal data for as long as we need it for the purposes described in this policy, including to provide the Services, maintain our records, and comply with our legal obligations. When we no longer need it, we delete it or anonymise it. Retention periods vary depending on the type of data and why we hold it.

7. DATA SECURITY

We apply reasonable technical and organisational measures designed to protect personal data against loss, misuse, and unauthorised access. No system is completely secure, and we cannot guarantee absolute security. You are responsible for keeping any account credentials confidential.

8. YOUR PRIVACY RIGHTS

Depending on where you live, you may have some or all of the following rights in relation to your personal data:

  • The right to access the personal data we hold about you.
  • The right to have inaccurate data corrected.
  • The right to have your data deleted in certain circumstances.

If you are in the EU or the EEA and you believe we have not handled your personal data properly, you have the right to lodge a complaint with your local data protection authority. In Croatia, this is the Croatian Personal Data Protection Agency (AZOP).

California and other US residents. If you are a California resident, you may have rights under the California Consumer Privacy Act, including the right to know what personal information we collect, the right to request deletion, and the right not to be discriminated against for exercising your rights. 9. CHILDREN

The Services are intended for users who are at least 18 years old. We do not knowingly collect personal data from anyone under 18. If you believe a child has provided us with personal data, contact us and we will delete it.

10. THIRD-PARTY WEBSITES

The Services may link to third-party websites and platforms that we do not control. This policy does not apply to those sites. We encourage you to read the privacy policies of any third-party site you visit.

11. CHANGES TO THIS POLICY

We may update this Privacy Policy from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after we post changes means you accept the updated policy.

AGREEMENT TO OUR LEGAL TERMS

Fillchair is a brand operated by Verro Media d.o.o. ("Company", "Fillchair", "we", "us", or "our"), a company registered in Croatia at Medpotoki 16, Zagreb, Zagreb City 10000. Our VAT number is HR39758590967.

We operate the website and funnel located at https://start.fillchair.com/ai and any related funnels, landing pages, booking pages, and demo accounts (the "Site"), together with the AI Instagram receptionist, the done-for-you content service, and any other products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

1. OUR SERVICES

Fillchair provides marketing and automation services built for hair salons. These include an AI receptionist that responds to direct messages and comments on a salon's connected Instagram account, qualifies and answers prospective clients, and routes them to the salon's booking link, as well as a done-for-you content service. The specific scope of what we provide to any customer is set out in the offer presented to that customer at the time of sign-up.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA) or the Gramm-Leach-Bliley Act (GLBA). If your interactions would be subject to such laws, you may not use the Services.

2. FREE INSTALL AND PAID SERVICES

Free install. We may offer a free install of the AI receptionist for a limited period (the "Free Install"). The Free Install is offered at our discretion, requires no payment and no credit card, and may be modified, limited, or withdrawn at any time. We may decline to provide, or may discontinue, a Free Install for any account at any time. During or after the Free Install we may contact you to discuss continuing on a paid basis. You are under no obligation to continue.

Paid services. If you choose to continue on a paid basis, the price, billing cycle, term, deliverables, and any minimum commitment for the paid services will be set out in a separate order, proposal, or service agreement, or in the terms presented to you at the time of purchase (each, an "Order"). By accepting an Order, by making payment, or by continuing to use the paid Services, you agree to the terms of that Order. Where an Order and these Legal Terms conflict, the Order controls for the paid Services.

Billing. Payments are processed by third-party payment providers. You agree to provide current, complete, and accurate billing information and to keep it up to date. You authorize us, through our payment provider, to charge the fees described in your Order using your chosen payment method. Unless your Order states otherwise, fees are stated in US dollars and are exclusive of any taxes, which you are responsible for where applicable.

Cancellation and refunds. You may cancel paid Services in line with the cancellation terms in your Order. Except where required by law, fees already paid are non-refundable. Cancelling stops future charges and does not refund the current billing period.

3. NO GUARANTEE OF RESULTS

The Services are a marketing and automation tool. The number of messages, qualified conversations, bookings, appointments, revenue, or any other outcome a salon experiences depends on many factors outside our control, including the salon's own pricing, availability, location, reputation, response to clients off-platform, the quality and accuracy of the information the salon provides to us, and the policies and performance of third-party platforms such as Instagram. Any examples, case studies, figures, or results referenced in our marketing describe specific past situations and are not a promise, guarantee, or projection of the results you will achieve. We do not guarantee any specific level of bookings, revenue, reach, or other outcome.

4. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property. We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, prompts, system architecture, content systems, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"), including the Fillchair name and wordmark.

Our Content and Marks are protected by copyright and trademark laws and various other intellectual property and unfair competition laws and treaties in the United States, Croatia, and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal use or internal business purpose only.

Your use of our Services. Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out here, please contact us at info@fillchair.com. We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these intellectual property rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions and inputs. When you send us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission, and we may use and share it for any lawful purpose without acknowledgment or compensation to you.

Separately, you may provide us with information, files, brand assets, pricing, service menus, booking links, and similar materials so that we can configure and operate the Services for you ("Customer Inputs"). You retain ownership of your Customer Inputs. You grant us a non-exclusive, worldwide, royalty-free licence to use, store, process, and reproduce your Customer Inputs for the purpose of providing and improving the Services. You confirm that you have the necessary rights to provide your Customer Inputs and to grant this licence, and that your Customer Inputs do not infringe the rights of any third party.

5. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  • you have the legal capacity and you agree to comply with these Legal Terms
  • you are not a minor in the jurisdiction in which you reside
  • you will not access the Services through automated or non-human means except as expressly permitted
  • you will not use the Services for any illegal or unauthorised purpose
  • your use of the Services will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.

6. YOUR RESPONSIBILITIES WHEN USING THE RECEPTIONIST

If you use the AI receptionist or the content service, you are responsible for the following:

  • providing accurate, current, and complete information about your salon, including services, pricing, policies, stylists, and your booking link, and keeping that information up to date
  • maintaining your own Instagram, Meta, booking, and other platform accounts in good standing and complying with the terms of those platforms
  • granting and maintaining any access or permissions we need to operate the Services on your connected accounts, and revoking them if you stop using the Services
  • having a lawful basis and providing any notices or obtaining any consents required for us to process your clients' information on your behalf, as described in the "DATA PROTECTION AND PRIVACY" section
  • reviewing the way the receptionist represents your salon and telling us promptly if anything needs to change
  • handling your own client relationships, bookings, payments, and obligations to your clients, which remain entirely your responsibility

The receptionist responds automatically and can make mistakes. You are responsible for monitoring your account and for any commitments made to your clients.

7. THIRD-PARTY PLATFORMS AND SERVICES

The Services rely on third-party platforms and tools, including Instagram and Meta, your booking system, scheduling tools, customer relationship and messaging platforms, and payment providers. We do not control these third parties. We are not responsible for their availability, performance, policies, pricing, changes, suspensions, or for any action they take in relation to your account, including limiting or removing access or messaging functionality. Your use of those third-party platforms is governed by their own terms, and you are responsible for complying with them. An interruption, change, or restriction imposed by a third-party platform is not a breach of these Legal Terms by us.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Circumvent, disable, or otherwise interfere with security-related features of the Services.
  • Disparage, tarnish, or otherwise harm, in our opinion, us or the Services.
  • Use any information obtained from the Services in order to harass, abuse, or harm another person.

  • Delete the copyright or other proprietary rights notice from any Content.
  • Attempt to impersonate another user or person.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
  • Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services.
  • Copy or adapt the Services' software, including but not limited to HTML, JavaScript, or other code.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or making up a part of the Services.
  • Use the Services, the prompts, the system architecture, or any Content to build, train, or improve a competing product or service.
  • Make any unauthorised use of the Services, including collecting usernames or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretences.

9. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: monitor the Services for violations of these Legal Terms, take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, refuse, restrict access to, limit the availability of, or disable any of your contributions or any portion thereof in our sole discretion, remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems, and otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

10. DATA PROTECTION AND PRIVACY

Your information as a visitor and customer. We care about data privacy and security. Our collection and use of information about you as a visitor to the Site and as a customer is described in our Privacy Policy, which is incorporated into these Legal Terms by reference. Please review it to understand our practices.

Your clients' information. When you use the AI receptionist, we process personal data about your own clients and prospective clients (for example their names, contact details, and the content of their messages) on your behalf and on your instructions. For that processing, you act as the controller and we act as your processor. You are responsible for having a lawful basis for that processing and for providing any notices and obtaining any consents required from your clients. Our processing of your clients' personal data is governed by a Data Processing Agreement, which forms part of the terms for the paid Services.

Security. We apply reasonable technical and organisational measures designed to protect the information we hold. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

International transfers and hosting. Some of the tools we use, and some of the data we process, may be stored or processed in the United States or in other countries. Where information is transferred across borders, we rely on appropriate safeguards as required by applicable law. By using the Services, you acknowledge that information may be transferred to and processed in countries other than your own.

11. SMS TEXT MESSAGING

What messages we send. If you provide your mobile number and opt in, we may send you text messages relating to your enquiry, your booking or call with us, your account, and the Services, including reminders and notifications.

Consent. By providing your mobile number and opting in, you consent to receive these text messages. Consent is not a condition of purchase. Message frequency varies.

Opting out. You can stop receiving text messages at any time by replying "STOP" to any message. You may receive a message confirming your opt-out. For help, reply "HELP" or contact us at info@fillchair.com.

Message and data rates. Message and data rates may apply to any messages sent or received. Rates are determined by your carrier and your mobile plan.

12. TERM AND TERMINATION

These Legal Terms remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES, INCLUDING BLOCKING CERTAIN IP ADDRESSES, TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.

13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases.

14. GOVERNING LAW

These Legal Terms are governed by and interpreted following the laws of Croatia, and the use of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. If your habitual residence is in the EU, and you are a consumer, you additionally possess the protection provided to you by obligatory provisions of the law of your country of residence. The Company and you both agree to submit to the non-exclusive jurisdiction of the courts of Zagreb, which means that you may make a claim to defend your consumer protection rights in regards to these Legal Terms in Croatia, or in the EU country in which you reside.

15. DISPUTE RESOLUTION

Informal negotiations. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other.

Binding arbitration. Any dispute arising from the relationships between the Parties to these Legal Terms shall be determined by one arbitrator chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration, part of the European Centre of Arbitration having its seat in Strasbourg, in force at the time the application for arbitration is filed, and of which adoption of this clause constitutes acceptance. The seat of arbitration shall be Zagreb, Croatia. The language of the proceedings shall be English. Applicable rules of substantive law shall be the law of Croatia.

Restrictions. The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, no arbitration shall be joined with any other proceeding, there is no right or authority for any Dispute to be arbitrated on a class-action basis or to use class-action procedures, and there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions. The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: any Disputes seeking to enforce or protect, or concerning the validity of, any intellectual property rights of a Party, any Dispute related to or arising from allegations of theft, piracy, invasion of privacy, or unauthorised use, and any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above.

16. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

17. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR APPLICATIONS LINKED TO THE SERVICES, AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, ANY UNAUTHORISED ACCESS TO OR USE OF OUR SERVERS AND ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN, ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY HYPERLINKED WEBSITE, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, LOSS OF BOOKINGS, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE LEGAL TERMS OR THE SERVICES WILL AT ALL TIMES BE LIMITED TO THE TOTAL AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID US ANY AMOUNTS, INCLUDING WHERE YOU USE A FREE INSTALL OR FREE TRIAL, OUR TOTAL LIABILITY TO YOU WILL BE ZERO, EXCEPT FOR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. 19. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Services, your breach of these Legal Terms, any breach of your representations and warranties set forth in these Legal Terms, your violation of the rights of a third party including intellectual property rights, your Customer Inputs, your processing of your clients' personal data, or any overt harmful act toward any other user of the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

20. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you waive any right of action against us arising from any such loss or corruption.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defences you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.
